1. UNCITRAL Model.

The UNCITRAL Model Law on Electronic Commerce, adopted in 1996 by the United Nations Commission on International Trade Law (UNCITRAL), provides a legal framework to facilitate electronic transactions and recognize the validity of electronic documents and signatures in international and domestic trade.

It serves as a guideline for countries to draft or update their national legislation to ensure that electronic contracts, messages, and data are legally equivalent to paper-based formats.

  • Technology Neutrality: Does not prescribe or limit the use of any specific technology or platform.
  • Party Autonomy: Parties can agree on how to communicate and form contracts electronically.

  • Article 5: Legal recognition of electronic messages
  • Article 6: Writing requirement can be fulfilled by electronic form
  • Article 7: Electronic signature is valid if it meets certain reliability criteria
  • Article 9: Retention of electronic records is acceptable if accessible for future reference

Relation with India’s IT Act, 2000

India’s Information Technology Act, 2000 was heavily inspired by the UNCITRAL Model Law. The Act:

  • Recognizes digital signatures and electronic records
  • Legalizes electronic contracts
  • Provides for e-governance, e-commerce, and cybercrime regulation

The preamble of the IT Act clearly states that it is based on the UNCITRAL Model Law, aiming to provide a legal framework for e-transactions in India.
