A Managing Director is a key executive entrusted with substantial powers of management in a company. Under Section 2(54) of the Companies Act, 2013, a Managing Director is defined as a director who, by virtue of the articles of a company, an agreement with the company, or a resolution passed in its general meeting or by its Board of Directors, is entrusted with substantial powers of management. These powers relate to the day-to-day administration of company affairs, subject to the supervision, control, and direction of the Board. The concept ensures efficient decision-making while maintaining accountability within the corporate governance structure.
